1.2 Provider Responsibilities

It is important to understand that you are solely responsible for providing accurate medical consultations and treatments to users based on their needs. Afya's role is limited to facilitating the connection between you and users seeking healthcare services, and it does not provide medical consultations or practice medicine.

1.3 Legal Authorization

Our services are intended only for legally licensed entities and individuals authorized to practice. By agreeing to these Terms, you confirm to Afya that you are legally permitted to practice your profession.

2. License and Restrictions

2.1 Limited License

By using Afya's services, you are granted a limited, revocable, non-exclusive, and non-transferable license to access and use the website for the sole purpose of using the services.

2.2 Usage Limitations

This license does not authorize you to sell, lease, distribute, or transfer the content to third parties. Your use must remain personal and non-commercial.

2.3 Prohibited Activities

You are prohibited from attempting to hack, bypass security systems, use unauthorized means to access our or our service providers' systems, harm the network through malware, spamming, data scraping, or promoting products/services without permission.

2.4 Content Usage Rights

Subject to these Terms, you are granted a limited and non-exclusive right to use the available content, without violating the intellectual property rights of others without express written permission.

4. Provider Registration and Passwords

4.1 Account Creation

To access provider features, you must create an account through Afya's registration process. Your account will allow access to services and features that Afya may update at its discretion. You must provide complete and accurate information and notify Afya immediately of any changes. Failure to update information may result in termination of access.

4.2 Provider Agreement

If you are new to Afya, you must sign a ("Provider Agreement") to use our services and submit relevant licenses, certificates, and personal information ("Profile"). You grant Afya a transferable, sublicensable, irrevocable license to use, publish, and modify your Profile as needed.

4.3 Password Security

Upon account creation, you will choose a password. You must maintain its confidentiality and immediately report any suspicious requests. Afya employees will never request your password.

4.4 Account Responsibility

You are responsible for any activity under your account, authorized or not. If you suspect any unauthorized access, you must immediately notify Afya.

4.5 Security Acknowledgment

Although we implement high-level security measures, absolute protection cannot be guaranteed. You acknowledge that you provide your information at your own risk.

5. Consent to Communications from Afya

By creating your Provider account, you consent to Afya using your email to send updates, service notifications, legal changes, and promotional offers.

8. Afya-Generated Content

8.1 Platform Content

Afya content includes all platform materials such as logos, designs, texts, and graphics.

8.2 Intellectual Property

This also includes page headers, customized icons, and trademarks, which must be properly attributed if used.

8.3 Feedback and Ideas

We may request that you submit feedback, suggestions, or ideas to help improve our services or products. By submitting any Idea, you grant Afya a full, irrevocable, royalty-free, and perpetual right to use, reproduce, publish, translate, sublicense, copy, modify, delete, develop, and distribute such Ideas without any obligation of compensation or acknowledgment. You waive any future claims related to intellectual property rights or competition regarding the submitted Ideas. You are under no obligation to submit any Ideas if you do not wish to grant us these rights.

9. Your Responsibilities as a Provider

9.3 Competition Compliance

You may not use Afya's services to coordinate anti-competitive practices, divide customers or markets, or engage in unfair or misleading competition.

9.4 Technical Requirements

You are responsible for providing the necessary hardware and internet access to use Afya's services.

10. Refund Policy (Upon Activating Payment)

10.1 Non-Refundable Policy

All paid fees are final and non-refundable unless Afya decides otherwise.

10.2 Refund Processing

Refunds, if applicable, will be processed using the original payment method.

11. User Data Confidentiality

11.1 Privacy Commitment

Afya is committed to protecting the privacy of user data.

11.2 Access Limitations

You are granted access only to essential user information (names, phone numbers, emails) strictly for operational purposes, not marketing.

11.3 Liability for Breaches

Any breach of these confidentiality obligations will make you fully liable and you agree to defend, indemnify, and hold Afya harmless from any resulting claims or damages.

13. Representations and Warranties

You represent and warrant to Afya that:

• You have full authority to enter into and fulfill these Terms
• Your obligations hereunder do not conflict with any other obligations
• These Terms constitute valid and enforceable obligations
• You will not infringe on any third-party intellectual property rights
• You will comply with all applicable laws and regulations
• You are duly licensed and qualified to practice your profession

14. Disclaimer of Warranties

You acknowledge that you are solely responsible for how you use the application and the services. Afya, its affiliates, and representatives make no warranties—express or implied—regarding the reliability, accuracy, or suitability of the services for any particular purpose. All services are provided "as is," to the extent permitted by applicable laws in the Kingdom of Saudi Arabia.

15. Limitation of Liability

15.1 Provider Responsibility

You bear full responsibility for providing accurate and professional medical advice and treatment.

15.2 Service Limitations

Afya is not responsible for user dissatisfaction with the consultations or general experience.

15.3 Damage Limitations

Afya is not liable for any direct, indirect, incidental, punitive, or consequential damages resulting from:

• Errors or omissions in content
• Any personal injury resulting from service use
• Unauthorized access to personal data
• Service interruptions
• Malware or virus transmissions
• Loss or damage resulting from use of any content

16. Indemnification

16.1 Provider Indemnification

You agree to defend, indemnify, and hold harmless Afya and its affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your use of services
• Breach of these Terms
• Violation of any third-party rights
• Unauthorized use of your account

16.2 Defense Rights

Afya retains the right to control any defense or settlement at your expense.

16.3 Professional Responsibility

You are responsible for any fraud, deception, or misconduct. You are fully responsible for the accuracy of diagnoses and treatments provided to patients. Afya shall not be liable for any medical errors or malpractice.

17. Force Majeure

Afya is not liable for failing to perform obligations due to events beyond its reasonable control, including but not limited to fire, natural disasters, terrorism, labor disputes, war, service disruptions, or failures by its service providers.

18. Termination

18.1 Termination Rights

Afya reserves the right to terminate or restrict your access at any time for any reason without liability. Reasons include:

• Violation of these Terms
• Violation of third-party rights
• Payment issues, like; the invalidity of your credit card, your exceeding your credit card limit or "chargeback" of a fee or other payment
• Extended account inactivity

18.2 Post-Termination

Upon termination:

• Afya may delete all related content without liability
• Your access to the platform and services will cease
• Afya may take technical and legal measures to block further access
• You remain responsible for any outstanding fees, Regardless of whether you have the right to access or use the Website or the Services

19. Miscellaneous

19.1 Entire Agreement

These Terms constitute the entire agreement between you and Afya and supersede any prior agreements.

19.2 Independent Relationship

The relationship between you and Afya is independent; no partnership, agency, or employment relationship is created.

19.3 Severability

If any provision is found invalid, the rest of the Terms remain enforceable.

19.4 Language

These Terms are drafted in both Arabic and English. In case of any conflict, the English version prevails.

19.5 Updates

Afya reserves the right to update or modify these Terms at any time. We will notify you of any changes, Continued use of the platform constitutes acceptance of the updated Terms.

20. CHOICE OF LAW

These Terms shall be governed under the laws of the Kingdom of Saudi Arabia. Any dispute arises in relation with these Terms, shall be settled and heard before the competent courts in Riyadh, Kingdom of Saudi Arabia.
